End-User License Agreement

1. Agreement

This End-User License Agreement ("Agreement") is between Salt City Rain Gutters LLC ("we," "us," or "our") and the person or entity using OmniRivet ("you"). By accessing or using OmniRivet, you agree to this Agreement and our Privacy Policy. If you use OmniRivet for an organization, you represent that you have authority to bind that organization.

2. License and permitted use

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use OmniRivet for your authorized business operations. You may permit employees and contractors to use OmniRivet only through assigned accounts and roles, and you are responsible for their compliance.

3. Accounts and security

You must provide accurate information, protect credentials, assign appropriate permissions, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by our breach of this Agreement.

4. Acceptable use

You may not:

• Use OmniRivet unlawfully, deceptively, or to violate another person's rights.
• Upload malicious code or content you do not have the right to use.
• Bypass access controls, probe security, interfere with operation, or gain unauthorized access.
• Reverse engineer, copy, resell, sublicense, or commercially exploit OmniRivet except as permitted by law or written agreement.
• Use OmniRivet to send spam or communications without required consent.

5. Your data and responsibilities

You retain ownership of information and content you submit. You grant us a limited license to host, process, reproduce, and transmit that content as necessary to operate OmniRivet. You represent that you have the right and any required consent to collect, upload, use, and share customer, employee, job, photo, signature, and accounting information. You are responsible for verifying estimates, measurements, taxes, schedules, contracts, and customer communications before relying on or sending them.

6. Third-party services

OmniRivet may connect to third-party services such as Intuit QuickBooks Online, email delivery providers, payment processors, and measurement providers. Those services are governed by their own terms and privacy policies. We do not control their availability, accuracy, security, or changes. You authorize us to exchange information with a third-party service only when you choose to connect it.

7. Estimates, signatures, and payments

OmniRivet may help create and send estimates, agreements, electronic signature requests, invoices, and payment links. You are responsible for the content, enforceability, pricing, taxes, deposit terms, and legal compliance of your documents and transactions. Payment processing is performed by the identified payment provider, not OmniRivet. We do not guarantee customer acceptance, payment, collection, or the legal enforceability of any electronic signature in every jurisdiction.

8. Intellectual property

OmniRivet, its software, design, branding, documentation, and related technology are owned by Salt City Rain Gutters LLC or its licensors. Except for the limited license above, no rights are transferred to you. Feedback may be used by us without restriction or compensation.

9. Availability and changes

We may modify, suspend, or discontinue features, integrations, or the service. We aim to operate OmniRivet reliably but do not guarantee uninterrupted or error-free access. You should keep appropriate copies of important business and financial records.

10. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREWPROOF IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CREWPROOF DOES NOT PROVIDE LEGAL, ACCOUNTING, ENGINEERING, ROOFING, MEASUREMENT, OR TAX ADVICE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL. OUR TOTAL LIABILITY ARISING FROM CREWPROOF WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR CREWPROOF DURING THE 12 MONTHS BEFORE THE CLAIM OR $100. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.

12. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Salt City Rain Gutters LLC and its personnel from third-party claims arising from your data, your misuse of OmniRivet, your customer contracts or work, or your violation of this Agreement or law.

13. Suspension and termination

You may stop using OmniRivet at any time. We may suspend or terminate access for security risks, nonpayment, unlawful use, material breach, or to protect the service or others. Sections that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnity, and dispute provisions.

14. Governing law

This Agreement is governed by Utah law, without regard to conflict-of-law rules. Exclusive venue for disputes will be in state or federal courts located in Salt Lake County, Utah, and each party consents to their jurisdiction, unless applicable law requires otherwise.

15. General terms

This Agreement and the Privacy Policy are the entire agreement about OmniRivet unless a separate written agreement applies. If a provision is unenforceable, the remainder remains effective. Failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; we may assign it as part of a reorganization or transfer of the business. We may update this Agreement by posting a revised version and providing notice of material changes.
